01 AGREEMENT

Using ShowScripter means you agree to these terms.

ShowScripter is operated by Braemar Media Corporation ("ShowScripter," "we," or "us"). By creating an account, signing in, or using ShowScripter in any way, you agree to be bound by these Terms & Conditions and our Privacy Policy. These terms form a binding agreement between you and Braemar Media Corporation. If you are using ShowScripter on behalf of a company, team, or other organization, you represent that you have the authority to bind that organization to these terms, and the words "you" and "your" refer to both you and that organization. If you do not agree to any part of these terms, you may not use ShowScripter.

02 SERVICE

What ShowScripter is.

ShowScripter is a real-time show production platform built for podcasters, streamers, broadcasters, and other content creators. The service provides tools for research aggregation, segment and rundown building, team collaboration on episode planning, and live show coordination including timing and segment cues. We may add, modify, or discontinue features at any time as the product evolves. We strive to give reasonable advance notice of changes that materially affect how you use the service, but some changes — particularly those required for security, legal, or stability reasons — may take effect immediately.

03 YOUR CONTENT

You keep the rights you have in what you create.

You keep whatever rights you already have in the content you create in ShowScripter — your episode rundowns, segment notes, research summaries, chat messages, and show plans. We don't claim ownership of it. Some of what you assemble may include material owned by others (for example, research summaries or headlines drawn from third-party news sources); these terms don't grant you any rights in that underlying material that you don't already have, and you are responsible for using it lawfully. By storing your content on our servers you grant ShowScripter a limited, worldwide, royalty-free license to host, transmit, sync, back up, display, and make the technical copies and format conversions of your content needed to run those functions (for example, reformatting it for display or generating the exports you request) — in each case solely for the purpose of providing the service to you and your team. We do not sell your content. We do not use it for advertising. We do not use it to train third-party AI models. We do not share it with third parties except as strictly necessary to operate the service (for example, cloud hosting providers) or as required by law.

04 OUR IP

We own ShowScripter itself.

ShowScripter itself — the software, design, user interface, features, documentation, and the ShowScripter name and logo, along with all related intellectual property — belongs to Braemar Media Corporation and is protected by intellectual-property law. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing; they do not transfer any of our intellectual property to you. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the service, except as expressly permitted by these terms.

05 TEAM ACCESS

Team members you invite can see your content.

When you invite someone to your organization, they receive access to every show and episode within that workspace. There are no per-segment or per-episode permissions — workspace membership is the unit of access. Only invite people you trust with all of your content. You are responsible for managing your team's roster: granting access, removing former teammates, and ensuring that anyone with access also agrees to be bound by these Terms when they use the service. We are not responsible for actions taken by your team members within your workspace.

06 PROHIBITED USE

What you can't do.

You agree not to use ShowScripter to plan, produce, distribute, or promote content that is illegal, infringes someone else's rights, harasses or threatens others, or constitutes defamation, hate speech, or incitement. You may not attempt to reverse-engineer, decompile, or otherwise extract the source of the platform; scrape data at scale; circumvent rate limits or authentication; or share your access credentials with anyone outside your invited team. Violation of this section may result in immediate suspension or termination of your account without notice or refund.

07 AI & RESEARCH

AI and research outputs are a starting point, not verified fact.

ShowScripter includes AI-assisted features and aggregated research — for example, news summaries, suggested copy, writing assistance, and third-party headlines surfaced in the research tools. These outputs can be inaccurate, incomplete, biased, or out of date, and they may reflect the limitations of the underlying sources and AI models. They are an editorial starting point, not a source of verified fact. You are responsible for reviewing, fact-checking, and editing any AI-generated or aggregated content before you publish it, broadcast it, or otherwise rely on it. We do not guarantee the accuracy, completeness, or fitness of any research summary, AI suggestion, or third-party headline surfaced in the product, and we are not responsible for editorial decisions you make based on them.

08 BILLING

Annual plans with a 14-day money-back guarantee — and monthly on some plans.

Most paid plans are billed annually in advance. Some plans (currently the Network plan) also offer monthly billing as an option. Annual plans include a 14-day money-back guarantee: if you request a refund within fourteen (14) days of your initial annual purchase by emailing support@showscripter.com, we will refund that annual payment in full. Monthly plans are billed each month and can be canceled at any time; cancellation stops future monthly charges and you keep access through the end of the current month. Renewal payments — annual or monthly — are not automatically refundable, though we will consider exceptional cases on request. You may cancel at any time from your account settings to prevent future renewals; cancellation alone does not refund the current paid period, and you keep access through the end of the period you have already paid for. Prices are shown in U.S. dollars unless otherwise specified, and you authorize us (through our payment processor, Stripe) to charge your selected payment method for each renewal until you cancel. We will give you reasonable advance notice (at least 30 days for material changes) before any pricing or plan-structure change takes effect; if you do not agree to the change, you can cancel before it applies.

09 LIABILITY

We provide ShowScripter as-is.

ShowScripter is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We work hard on uptime and data integrity, but we do not guarantee uninterrupted service, error-free operation, or that all data will be preserved in every scenario. To the maximum extent permitted by law, ShowScripter and Braemar Media Corporation are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, missed shows, lost data, or business interruption. Our total aggregate liability for any claim arising out of these terms or your use of the service is limited to the amount you paid us in the twelve months preceding the claim. We keep regular backups, but they are not a substitute for your own copy: please use the built-in export tools to download and back up your important rundowns and segments regularly, and don't treat ShowScripter as your only copy of your content.

10 INDEMNITY

You cover claims that come from your content or misuse.

To the extent permitted by law, you agree to indemnify and hold harmless Braemar Media Corporation and its team from third-party claims, damages, losses, and reasonable costs (including reasonable attorneys' fees) that arise out of (a) the content you create, store, or distribute using ShowScripter; (b) your violation of these Terms; or (c) your violation of any law or of someone else's rights. This covers claims that stem from your own use of the service and your own content — it does not cover claims caused by ShowScripter's own conduct.

11 FEEDBACK

Feedback you send, we can use.

If you send us ideas, suggestions, or feedback about ShowScripter, we may use them to operate and improve the product freely — without any obligation, restriction, or compensation to you. You are never required to send feedback, but if you do, you grant us the right to use it.

12 GOVERNING LAW

California law governs; disputes go to Los Angeles County.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or your use of ShowScripter will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts. If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary and the rest of the Terms will remain in full effect.

13 CHANGES

These terms may be updated.

We may update these Terms as the product, the law, or our business evolves. We will notify you of material changes by email and by an in-app prompt; non-material clarifications may take effect immediately without notice. When a new version is published, you will be asked to review and accept it before continuing to use the service. The version date shown above identifies which set of terms you are currently bound by; we keep an audit record of which version each user has accepted. The current version is always available at www.showscripter.com/terms.
